End User License Agreement

1. Agreement

This End User License Agreement ("Agreement") is a binding contract between you and Nest Provision Construction governing your use of the Nest App software, website, and any associated applications (collectively, the "Software"). By accessing or using the Software, you accept this Agreement. If you do not agree, do not use the Software.

2. License grant

Subject to your compliance with this Agreement and our Terms of Service, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for its intended purpose: browsing service professionals, booking services, and managing your account and payments.

3. Restrictions

You may not, and may not permit any third party to:

• copy, modify, translate, or create derivative works of the Software;
• reverse engineer, decompile, or disassemble any part of the Software, except where such restriction is prohibited by law;
• rent, lease, sell, sublicense, or otherwise commercially exploit access to the Software;
• scrape, crawl, or use automated means to extract data or listings, other than by a documented API where provided;
• circumvent authentication, rate limits, payment flows, or other security controls;
• introduce malware, or interfere with the integrity, availability, or performance of the Software;
• remove or obscure any proprietary notice, brand, or attribution.

4. Ownership

The Software is licensed, not sold. Nest Provision Construction and its licensors retain all right, title, and interest in and to the Software, including source code, design, user interface, trademarks, and all intellectual property rights. No rights are granted except as expressly stated in this Agreement.

5. Your content

You retain ownership of the content you submit, including job descriptions, photos, and reviews. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely to operate and improve the Software, and to share it with the Pro assigned to your job. You represent that you have the rights necessary to grant this license.

6. Third-party services

The Software integrates Whop for payment processing. Your use of that service is governed by its own terms and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services.

7. Updates

We may release updates, patches, or new versions of the Software at any time, and may modify or discontinue features. Where an update materially reduces functionality you rely on, we will provide notice where reasonably practicable.

8. Term and termination

This Agreement remains in effect until terminated. It terminates automatically if you breach any of its terms. We may also suspend or terminate your license for suspected fraud, abuse, or conduct that harms other users. On termination, you must stop using the Software; Sections 4, 9, 10, and 11 survive.

9. Disclaimer of warranties

The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Nest Provision Construction shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the Software. Our total liability under this Agreement shall not exceed USD $100 or the amount you paid us in the twelve (12) months preceding the claim, whichever is greater.

11. Governing law and venue

This Agreement is governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law principles. The exclusive venue for any dispute arising under this Agreement shall be the state and federal courts located in Massachusetts.

12. Entire agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Nest Provision Construction regarding the Software and supersedes any prior understanding. If any provision is held unenforceable, the remaining provisions remain in full force.
